Our fees start from $14,000 MXN plus VAT. The initial payment is $14,000 MXN when all owners reside or are domiciled in Mexico, and $25,000 MXN when at least one owner, individual or company, resides or is domiciled outside Mexico. Notarial costs are third-party expenses we take no part in; as an estimate, the deed of incorporation starts around $18,000 MXN and the power of attorney runs from $7,000 to $8,000 MXN. The fee is set in writing from the start.
Yes. In most economic activities foreign investors can hold 100% of the capital. Some activities have limits or require authorization under Mexico’s Foreign Investment Law; we review this with you before incorporating.
For US tax purposes, an S.A. de C.V. is always treated as a corporation. An S. de R.L. de C.V. can elect pass through treatment (check the box). The right structure depends on your case, and the analysis is part of our proposal.
REPSE is Mexico’s mandatory registry for providing specialized services or specialized works. Without a current registration, your clients cannot deduct your invoices and fines apply. If you provide or hire this kind of services, it is worth reviewing.

Yes. A foreign company can be a partner or shareholder of an S. de R.L. or an S.A. The SAS does not allow it, because it only admits individuals. We design the structure between your parent company and the Mexican entity.
